Creator Authorization

Draft for review — not yet adopted. Agreements require a completed private schedule and signatures before use.

1. Limited management appointment

This template permits a named manager or agency to operate specified creator profiles on Kamino. A private signed authorization must identify the creator, manager, any agency, affected clones, start and end conditions, and underlying likeness, voice, and asset permissions before the appointment is relied upon.

This appointment does not itself grant likeness, voice, image, copyright, or adult-use rights. It is separate from the Likeness and Voice Permission and any commercial agreement. Creating an account or checking a rights-confirmation box does not execute it.

2. Actions requiring express authorization

The authorization must separately select whether the manager may edit profiles or personality settings, upload approved sources, configure voice/images, use studio tools, publish or unpublish profiles, manage channels and schedules, access conversations or memories, and manage team roles. Unselected actions are not authorized.

Commercial powers, such as setting prices, agreeing to compensation, or accepting service terms for the creator, must be expressly described with their limits. This appointment does not authorize unrelated contracts, borrowing, or commitments outside the recorded scope. Technical account access must be kept within the authorization.

3. Creator control and approvals

The creator retains control of their consent boundaries and may specify excluded topics, media limits, and changes that need prior approval. Adult features require a separate signed adult-use permission. A manager may not enlarge those rights through account settings or assume that silence approves a new use.

A new identity, materially expanded distribution, use of sources in another product, or broader adult-use scope requires new written authorization from the relevant rights holders. Nothing said by the AI clone grants permission on the creator’s behalf.

4. Manager duties and private information

The manager must use authorized assets, maintain evidence of rights and adult status where relevant, follow applicable content rules, accurately disclose AI representations, and protect credentials and source material. Team delegation requires the creator’s written approval and must remain within the same limits.

Conversation and memory access is only for the approved management purpose. It does not permit unrelated monitoring, marketing reuse, or sharing private messages. The manager must limit access, preserve relevant records, and report compromised access, consent disputes, or unauthorized activity promptly.

5. Records and platform review

Keep the signed authorization, underlying permission references, approved changes, team scope, and relevant notices in restricted records. Supply relevant evidence through a suitable secure process when reasonably needed to verify rights or resolve a dispute. Do not place identity documents or signed releases in creator-source fields.

Kamino may restrict a disputed or prohibited feature regardless of a manager appointment. An appointment does not establish that verification has occurred or guarantee service availability. Compensation requires a separate agreement; this authorization creates no implied payout rate or revenue entitlement.

6. Revocation and handover

The creator may revoke or narrow management authority by written notice to the manager and Kamino using the methods in the signed authorization. Revocation takes effect on receipt unless the creator specifies a later date. The former manager must stop affected actions immediately and cooperate promptly in revoking account, team, and channel access.

Authorized records must be handed over securely, with no new discretionary action during the handover unless specifically approved. A replacement manager needs their own written authority. Revoking management does not automatically assign a separate likeness license or erase accrued contractual obligations; those are governed by the relevant agreement and mandatory law.

7. Acceptance and records

The private authorization must record the parties, profile references, selected actions, limits, underlying rights, duration, notice methods, and any approved delegation. Record the creator’s and manager’s signatures, dates, and capacities, plus specific representative authority if someone signs for the creator. Both parties receive a completed copy.

Changes must be documented in writing. A platform review reference, if one is issued, records only the review actually performed. The appointment creates no general power of attorney, partnership, employment relationship, or waiver of mandatory rights.
